Assignment of Exclusive Rights By Author

Agreement (“Agreement”) made and entered into this _____________________ (“Effective Date”) by and between _____________________________ (“Company”) and _________________, (“Writer”) whose address is ________________________________________.

In consideration of the payment of __________ Dollars (US$__________00) to Writer, and for other good and valuable consideration the receipt and sufficiency of which is hereby acknowledged, Writer hereby irrevocably assigns, conveys and transfers to Company all right, title and interest (including copyrights, mask work rights, trademark rights, moral rights and all other intellectual property rights throughout the world) in and to the script for the film known as “_____________________________” (the “Script”).

Writer shall further assist Company, at Company’s expense, to further evidence, record and perfect such assignments, and to perfect, obtain, maintain, enforce, and defend any rights assigned. Writer hereby irrevocably designates and appoints Company as its agent and attorney-in-fact to act for and on Writer ‘s behalf to execute and file any document and to do all other lawfully permitted acts to further the foregoing with the same legal force and effect as if executed by Writer.

Writer warrants and represents that: (i) Writer owns and/or controls one hundred percent (100%) of the copyright in and to the Script; (ii) Writer has the unrestricted right to make the assignments contained in this Agreement and to execute this Agreement; (iii) all material written, prepared or submitted by Writer pursuant to this Agreement shall be wholly original with Writer and shall not be copied in whole or in part from any other work; and (iv) the use of the Script by Company as contemplated by this Agreement will not violate the rights of any person or entity.
